Nicor Sold to AGL Resources in Cash and Stock Deal
"AGL Resources (AGL) and Nicor Inc. (NYSE: GAS) today announced that the Boards of Directors of both companies have approved a definitive merger agreement to create a leading US natural gas distribution company. Pursuant to the agreement, Nicor will merge with a subsidiary of AGL Resources in a transaction with an enterprise value of $3.1 billion, including a total equity value of $2.4 billion. The combined entity will have an enterprise value of $8.6 billion. Under the terms of the agreement, Nicor shareholders will be entitled to receive for each share of Nicor common stock, $21.20 in cash and 0.8382 shares of AGL Resources common stock, which together represent a value of $53.00 based on the volume-weighted average price for AGL Resources common stock for the 20 trading days ended December 1, 2010 (the last unaffected Nicor trading day). Following the completion of the merger, it is anticipated that AGL Resources shareholders will own approximately 67 percent and Nicor shareholders will own approximately 33 percent of the combined company. The transaction is anticipated to be neutral to AGL Resources' earnings per share (EPS) in the first full year following the close and accretive thereafter. The transaction is anticipated to enhance EPS growth and maintain credit quality. The companies expect to complete the transaction in the second half of 2011. "

Nicor Reported Mixed Q2 Results, Reaffirms FY EPS Guidance (GAS)
August 3, 2010- Nicor (NYSE:GAS)reported Q2 EPS of $0.53, besting consensus estimates of $0.44 per share. Revenues fell 4.92% year-over-year to $425.6 million, missing consensus estimates of $447.46 million. For the full year, Nicor sees EPS of $3.10 to $3.30, vs. consensus estimates of $3.15 per share. Russ Strobel, Nicor's Chairman, President and Chief Executive Officer commented, "We are pleased to report a solid second quarter of operating earnings at each of our businesses, Our ongoing focus on operational excellence and cost controls enabled the gas distribution business to continue to perform well. Tropical Shipping saw an increase in revenues this quarter with an improvement in year-over-year volumes shipped. While markets in the Bahamas and Caribbean remain challenging, we are benefiting from the proactive efforts made over the last year to reduce operating costs in this business. NICOR Misses Profit Estimates And Cuts Guidance
NICOR (NYSE:GAS) reported Q3 EPS of $0.30, missing consensus estimates of $0.32. Revenues in the quarter jumped 8.3% to $352 million, and came in ahead of consensus estimates of $326 million. The company revised its 2010 diluted earnings per common share estimate to be in the range of $3.00 to $3.10 from the previous range of $3.10 to $3.30 that was provided in its 2010 second quarter earnings release dated August 3, 2010. The change in the company's annual outlook was primarily due to lower than anticipated annual operating income in the company's shipping business. Analysts, on average, were expecting FY 2010 EPS of $3.16 on revenues of $2.81 billion.
